By accessing, browsing, or using veztraa.com or engaging any Service, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and you agree to comply with these Terms and all applicable laws and regulations. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a mutually executed Statement of Work or Service Agreement. Content on this website is provided for general informational purposes and does not itself constitute an offer capable of acceptance.

Where you engage Veztraa for software development or consulting services, the specific terms of that engagement — including scope, deliverables, milestones, fees, and payment schedule — will be documented in a Statement of Work ("SOW") or Service Agreement signed by both parties. Each SOW is incorporated into, and governed by, the applicable Service Agreement between Veztraa and the client. No Services will commence until a SOW has been mutually agreed and, where applicable, any required deposit has been received.

Fees for Services are as set out in the applicable SOW or Service Agreement and are payable in the currency and on the schedule specified therein. Unless otherwise agreed in writing, invoices are due within 15 days of the invoice date. Late payments may accrue interest at the maximum rate permitted by applicable law and may result in suspension of Services until outstanding amounts are settled. All fees are exclusive of applicable taxes, duties, and levies, which shall be borne by the client except for taxes based on Veztraa's net income.

All content on this website — including text, graphics, logos, trademarks, and source code — is the property of Veztraa Solutions or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, publicly display, or create derivative works from this content without our prior written consent, except as permitted for personal, non-commercial reference. With respect to client engagements, unless otherwise agreed in a Service Agreement, upon full and final payment for a specific deliverable, Veztraa assigns to the client all right, title, and interest in the bespoke deliverables created specifically for that client under the applicable SOW, excluding Veztraa's pre-existing tools, frameworks, libraries, and general know-how, which are licensed to the client for use with the delivered work on a non-exclusive, perpetual basis.

Each party agrees to protect the other party's confidential information disclosed in connection with the Services using at least the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable degree of care. Confidential information excludes information that is or becomes publicly available through no fault of the receiving party, was rightfully known prior to disclosure, or is independently developed without use of the disclosing party's confidential information. This obligation survives termination of any engagement for a period of three (3) years, or indefinitely with respect to trade secrets.

Veztraa does not warrant that the website will be uninterrupted, secure, or error-free, or that any defects will be corrected.

To the maximum extent permitted by applicable law, in no event shall Veztraa, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the website or the Services, even if advised of the possibility of such damages. Except in cases of gross negligence, willful misconduct, or as otherwise set out in a Service Agreement, Veztraa's aggregate liability arising out of or relating to a specific engagement shall not exceed the total fees paid by the client to Veztraa for the Services giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

You agree to indemnify, defend, and hold harmless Veztraa Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the website or Services, or your violation of any applicable law or third-party right.

We may suspend or terminate your access to the website or any Service at any time, with or without cause or notice, including for any breach of these Terms. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — shall survive any termination or expiration of these Terms. Termination of a specific client engagement shall be governed by the terms of the applicable Service Agreement.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved amicably through good-faith negotiation within thirty (30) days shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, seated in Gandhinagar, Gujarat, India, and conducted in the English language, with the courts of Gandhinagar, Gujarat having exclusive jurisdiction over any matter not subject to arbitration.

Neither party shall be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications failures, or pandemic, provided the affected party promptly notifies the other party and uses commercially reasonable efforts to resume performance.

We reserve the right to revise these Terms at any time by updating this page. Material changes will be indicated by an updated "Last Updated" date and, where required by law or a Service Agreement, we will provide additional notice. Your continued use of the website or Services after any revision constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
